These Business Terms & Conditions ("Terms") govern your access to and use of the services, software, websites and APIs provided by Kajal Innovation Technical Solutions (operating as "KITS WebGen"). Please read these Terms carefully. By accessing or using our services you agree to be bound by these Terms.

1. Identity & Business Information

KITS WebGen is operated by Kajal Innovation Technical Solutions, an Indian business providing AI-enabled software tools, automation services, and digital utilities for individuals and organizations. Our registered operational address is 1st Floor, Mukta Plaza, KITS Square, Near Income Tax Chowk, Kirti Nagar, Akola, Maharashtra 444004, India.

2. Service Description

We deliver cloud-hosted software, web applications, APIs, and professional services that use AI, automation, and developer tooling. Services may include free tiers, trials, subscription plans, or bespoke enterprise arrangements. Specific features, limits, pricing and service levels are described on our pricing page and in any applicable order form or agreement.

3. Service Usage Rules

When using KITS WebGen you must:

• only use the services for lawful, authorized purposes;
• not upload, generate or distribute content that is unlawful, infringing, hateful, pornographic, unsafe or in violation of applicable laws or third-party rights;
• not attempt to probe, scan, penetrate, reverse-engineer, overload, scrape or otherwise circumvent security or access controls;
• comply with rate limits, fair-use policies, and any documented usage restrictions;
• maintain the confidentiality of your account credentials and promptly notify us of unauthorized use.

4. Account Registration & Responsibilities

To use certain features you must register for an account and provide accurate information. You are responsible for all activity that occurs under your account and for keeping credentials secure. We may suspend or terminate accounts that are inactive or that engage in prohibited or fraudulent activity.

5. Subscription & Billing Terms

Subscription plans may be offered monthly, annually, or under custom enterprise terms. By subscribing you authorize recurring charges to the payment method you provide until you cancel. Detailed terms for your plan (price, billing cycle, features and limits) are provided at purchase and in your account portal.

• Payments are processed via Razorpay or other authorized payment partners.
• All fees are stated in your currency where displayed and exclude taxes unless otherwise specified.
• Taxes (including GST for Indian customers) are calculated and collected where applicable; businesses should provide GST details when requested.
• Failure to pay may result in suspension or termination of access.

6. Refund & Cancellation Policy

Cancellation:

• You may cancel subscriptions at any time through your account settings or by contacting support.
• Cancellation becomes effective at the end of the current billing period unless otherwise stated in a custom agreement.

Refunds:

• Refunds are provided only in accordance with our Refund Policy and applicable local law.
• New customers may be eligible for a limited trial or a money-back guarantee if explicitly offered; eligibility and scope are described at the point of sale.
• No refunds will be granted for charges resulting from violations of these Terms, fraudulent activity, or abuse.
• Refunds, when approved, will be processed to the original payment method and may take several business days to appear.

7. Ownership & Intellectual Property

• KITS WebGen and Kajal Innovation Technical Solutions retain all rights, title and interest in the platform, software, documentation, trademarks, logos and other intellectual property, subject only to the limited rights expressly granted to you in these Terms.
• By providing content to the service you retain ownership of your input and output content. You grant us a limited, non-exclusive, worldwide, royalty-free license to use, reproduce and transmit your content solely to provide, maintain and improve the services.
• Users must ensure they have the rights to upload or provide content, and will be responsible for any third-party claims arising from such content.

8. Confidentiality

Each party agrees to keep confidential information received from the other party secure and not to use it except to perform obligations under these Terms. Confidential information does not include information that is public, independently developed, or required to be disclosed by law.

9. Liability Limitations

To the maximum extent permitted by applicable law:

• We are not liable for indirect, incidental, special, consequential or punitive damages, including loss of profits, revenue, data, or business opportunities.
• Our aggregate liability for claims relating to these Terms or the services will not exceed the total fees paid by you to KITS WebGen in the twelve months immediately preceding the claim.
• Nothing in these Terms limits liability for death or personal injury caused by negligence or other liability that cannot be excluded by law.

10. Disclaimers

Services are provided "as-is" and "as available." We make no warranties that the services will be uninterrupted, secure, or error-free. AI-generated outputs may be incomplete, inaccurate, or unsuitable for your purposes; you are responsible for validating any output prior to reliance.

11. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Unless agreed otherwise, any dispute arising from or related to these Terms will be subject to the exclusive jurisdiction of the courts in India, with venue in the city where our registered office is located, or resolved by binding arbitration if stated in a separate agreement.

12. Dispute Resolution

Parties will first seek to resolve disputes amicably through good-faith negotiation. If unresolved within 30 days, disputes may proceed to arbitration or litigation in accordance with Section 11. Each party will bear its own costs for informal negotiation; the arbitrator may allocate fees and costs as permitted by law.

13. Termination Conditions

• We may suspend or terminate access immediately for material breach, repeated violations, fraudulent activity, or to comply with legal obligations.
• On termination you remain liable for accrued fees and any outstanding obligations; we may delete or anonymize your data in accordance with our retention practices.
• Sections that by their nature survive termination (IP, indemnity, limitation of liability, governing law, etc.) will continue in force.

14. Indemnification

You agree to indemnify, defend and hold harmless KITS WebGen, its officers, directors, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising from your use of the services, your breach of these Terms, or your violation of any law or third-party rights.

15. Changes to Terms

We may update these Terms from time to time. Material changes will be posted with an updated "Last Updated" date and, when appropriate, notified to you. Continued use of the services after changes constitutes acceptance of the revised Terms.

16. Miscellaneous

• These Terms, together with any order forms and the Privacy Policy, constitute the entire agreement between you and KITS WebGen regarding the services.
• If any provision of these Terms is found invalid, the remaining provisions will remain in full force and effect.
• No waiver of any right is effective unless in writing and signed by an authorized representative.
